Packs Terms of Service

1. Introduction

1.1. These terms and conditions (the "Packs Terms") govern your access to and use of the "Packs" feature made available by Threely Dimensions Inc. ("Tria", "we", "us", or "our") through the website located at www.tria.so, the Tria mobile and web applications, and any related interfaces through which Packs are made available (collectively, the "Platform"). Packs are supplied by third-party Pack Providers, and not by Tria, as described in Section 4.

1.2. The Packs Terms are supplemental to, and must be read together with, Tria's Terms of Service (the "Platform TOS"), Privacy Policy, and Prohibited Use Policy, each as published on the Platform and as amended from time to time (together, the "General Terms"). The General Terms are incorporated into these Packs Terms, including the provisions relating to eligibility, accounts, sanctions, prohibited use, intellectual property rights, risk disclosures, warranties and disclaimers, indemnification, limitations of liability, governing law, and dispute resolution, except as modified by these Packs Terms.

1.3. Capitalized terms used but not defined in these Packs Terms have the meanings assigned to them in the General Terms. In the event of a conflict between these Packs Terms and the General Terms, these Packs Terms will control, but solely with respect to your access to and use of Packs. This Section 1.3 is an express statement of precedence for the purposes of Section 25.11 of the Platform TOS.

1.4. Acceptance. You accept these Packs Terms by ticking the box presented with them before your first Pack purchase. You also accept these Packs Terms by purchasing, opening, or otherwise interacting with a Pack. If you do not agree, you must not purchase, open, or otherwise interact with a Pack.

1.5. Version Applicable to Each Purchase. Each version of these Packs Terms is identified by the Last Updated date shown at the top of these Packs Terms. Each Pack purchase is governed by the version of these Packs Terms in effect at the time of that purchase. When these Packs Terms are updated, you may be asked to accept the updated version before your next Pack purchase.

1.6. Pack Provider Terms. Your purchase of a Pack is also governed by the terms of the applicable Pack Provider, as described in Section 4.4. These Packs Terms govern the relationship between you and Tria. The Pack Provider's terms govern the relationship between you and that Pack Provider. Nothing in a Pack Provider's terms creates any obligation or liability on the part of Tria.

2. Definitions

2.1. "NextRare" means NextRare, Inc., which operates the technology through which Packs are made available on the Platform and which, except in respect of NextRare Packs, acts as the agent of the applicable Pack Provider in making that Pack Provider's Packs available and in collecting and processing payment for them, including as merchant of record for card payments. "NextRare Packs" means Packs that NextRare issues itself as Pack Provider.

2.2. "Pack" means an offer, made available through the Platform by a Pack Provider, to purchase one Pack Token assigned to you at random from a pool of Pack Tokens described on the Platform, which is revealed to you through a digital interface that simulates the opening of a physical pack. Every Pack Token offered in a Pack corresponds to an underlying Real World Asset.

2.3. "Pack Provider" means the third party that creates, supplies, sells, custodies, and fulfills a given Pack, its Pack Tokens, and their underlying Real World Assets, and which is the seller of that Pack to you. Pack Providers include, without limitation, Collector Crypt Corp. ("Collector Crypt") and, in respect of NextRare Packs, NextRare, and may include other third parties from time to time. The applicable Pack Provider for each Pack is identified on the Platform at or before the point of purchase.

2.4. "Pack Token" means the digital token assigned to you when you open a Pack, which carries only such rights in respect of the corresponding Real World Asset as the applicable Pack Provider's terms provide, including, where those terms so provide, the right to seek Redemption.

2.5. "Buyback Offer" means the offer made by or on behalf of the applicable Pack Provider, or a buyer designated by it (each, a "Buyer"), to purchase a revealed Pack Token from you at the Payout Price. "Payout Price" means the price at which the Buyback Offer may be accepted, being a percentage of the market value of the Pack Token as determined by the Pack Provider, which is displayed to you on the Platform before you accept. "Election Window" means the period of seventy-two (72) hours starting when the Pack Token is revealed to you, or such other period as is displayed on the Platform for the relevant Pack before you purchase it.

2.6. "Real World Asset" or "RWA" means the specific, individually identifiable tangible physical item held in custody by or on behalf of the applicable Pack Provider and to which a Pack Token corresponds. Real World Assets include, without limitation, graded and ungraded trading cards, sealed and unsealed collectible products, memorabilia, and other physical collectible items. Each Real World Asset is a distinct individual item, identified where applicable by grading certification number, serial number, or equivalent identifier, and is not fungible with or interchangeable for any other item, notwithstanding that other items of the same description, grade, or issue may exist.

2.7. "Redemption" means the process, operated by or on behalf of the applicable Pack Provider, by which the holder of a Pack Token surrenders, burns, or otherwise relinquishes that Pack Token in exchange for delivery of the corresponding Real World Asset.

2.8. "Chargeback" means any request made to a card issuer, bank, the Card Program Provider, or a payment network to reverse, dispute, or recover a payment, including any dispute raised through the Platform or with the Card Program Provider.

2.9. "Purchase Record" has the meaning given in Section 3.7.1.

2.10. "Tria Amounts Owed" means any cashback, Tria Rewards, or other amounts that Tria owes to you and has not yet paid or delivered to you.

3. Packs

3.1. Purchase and Opening

3.1.1. You may purchase a Pack using the payment methods supported on the Platform from time to time, at the price displayed on the Platform at the time of purchase. Tria does not sell Packs, is not the merchant of record for any Pack purchase, and is not a party to the sale of any Pack. Card payments are collected by NextRare, as merchant of record on behalf of the applicable Pack Provider, through its payment processor. Payments in Digital Assets are made to the applicable Pack Provider or to NextRare on its behalf, and may be converted into another Digital Asset before being applied to your purchase. Tria provides the interface through which you initiate payment, and your obligation to pay for a Pack is owed to the applicable Pack Provider.

3.1.2. Card payments for Packs appear on your card statement under a descriptor that identifies NextRare and, where applicable, the Pack Provider. Please check this descriptor, and your purchase history on the Platform, before contacting your card issuer about a charge you do not recognize.

3.1.3. If you pay using a Tria Card, the payment is also governed by the applicable Cardholder Agreement. The Card Program Provider or card network may decline a Pack purchase, and Tria has no liability for any declined or reversed payment.

3.1.4. Confirming a Purchase. Each Pack purchase must be confirmed on the Platform in the manner Tria requires. You are responsible for keeping your Tria Account, device, passcode, and card details secure. A Pack purchase confirmed from your Tria Account and device is treated as made and authorized by you, unless you report unauthorized use in accordance with Section 3.6.

3.1.5. Opening and Results. Upon purchase, you will have the ability to open the Pack. The opening of a Pack is final and irreversible, and Pack transactions may be recorded on the relevant blockchain network. The result of a Pack is final once it is revealed to you. Receiving a duplicate item, a lower rarity than you hoped for, or an item whose value is lower than the price you paid is the expected nature of a randomized Pack, and is not a defect, a misdescription, or a failure to deliver. Network fees, gas costs, and any applicable payment processing fees shown to you are your responsibility and are non-refundable.

3.1.6. No Cancellation After Purchase. By purchasing a Pack, you request that it be delivered to you immediately, and you acknowledge that, to the fullest extent permitted by applicable law, you lose any right to cancel, withdraw from, or return the purchase once it has been made, because the Pack is made available to you immediately on purchase. Where applicable law gives you a right to cancel or withdraw from a Pack purchase that cannot be excluded, that right is owed by the Pack Provider as seller and is exercised in accordance with the Pack Provider's terms.

3.1.7. Prices, Payment in Digital Assets, and Availability. Prices are displayed in United States dollars unless the Platform states otherwise. If you pay in Digital Assets, the amount payable is determined at the time of payment on the basis shown to you, and you bear any difference caused by price movements, slippage, conversion, or network fees. Packs, and the Pack Tokens available in any Pack, are limited and may sell out or change at any time, and a purchase may fail if a Pack is no longer available. Where your payment is taken but a Pack is not delivered to you, Section 3.6 applies.

3.2. Randomization and Odds

Pack contents are assigned on a randomized basis by systems operated by or on behalf of the applicable Pack Provider. Tria does not operate, control, or influence the assignment of Pack contents. Before you purchase a Pack, the Platform displays the odds for that Pack as supplied by the Pack Provider. Odds, drop rates, pool composition, rarity designations, grading, valuations, and Payout Prices displayed on the Platform are supplied by the applicable Pack Provider, which is responsible for their accuracy and for applying the odds as displayed. Tria does not independently verify, and makes no representation or warranty regarding, the accuracy, completeness, or fairness of that information or of the assignment of Pack contents. The composition of a Pack's pool, and the odds associated with it, may change over time as Pack Tokens are assigned, added, or removed; the information displayed at the time of your purchase applies to that purchase.

3.3. Buyback Offer and Keeping Pack Tokens

3.3.1. When you open a Pack, the revealed Pack Token is recorded to your Digital Asset Wallet by smart contracts on the blockchain network chosen by the applicable Pack Provider, in accordance with the Pack Provider's terms. You are responsible for ensuring that the Digital Asset Wallet you use can receive and hold Pack Tokens.

3.3.2. The Buyback Offer is available to you throughout the Election Window. You may accept it at any time during the Election Window, including after you have chosen to keep the Pack Token, provided that the Pack Token remains in the Digital Asset Wallet connected to your Tria Account and you have not requested its Redemption. If you accept the Buyback Offer, the Pack Token is sold to the Buyer at the Payout Price, and the Payout Price is paid to your Digital Asset Wallet in the Digital Asset, and on the network, displayed on the Platform.

3.3.3. If you do not accept the Buyback Offer before the Election Window ends, the Buyback Offer lapses and you keep the Pack Token. The Buyback Offer also ends if, during the Election Window, you request Redemption of the Pack Token or transfer it out of the Digital Asset Wallet connected to your Tria Account. No Pack Token is sold unless you accept the Buyback Offer.

3.3.4. The Buyback Offer is made solely by the applicable Pack Provider or Buyer, and the Payout Price is paid to you by or on behalf of the Pack Provider or Buyer, and not by Tria. Tria does not make, purchase under, fund, guarantee, or pay any Buyback Offer or Payout Price, and Tria has no liability if a Pack Provider or Buyer fails to complete a purchase or to pay the Payout Price. The Buyback Offer is a separate and optional offer to purchase an item you have acquired, and is not a prize, winnings, or a return on your purchase.

3.3.5. Acceptance of a Buyback Offer is final and irrevocable, and a decision to keep a Pack Token becomes final when the Election Window ends. No reversals, refunds, or changes will be permitted after a Buyback Offer is accepted or the Election Window ends, whether due to user error, technical failure, unavailability of the Platform, network congestion, wallet or connectivity issues, or any other reason, unless explicitly required by applicable law.

3.4. Redemption

3.4.1. If you keep a Pack Token, you may seek Redemption of the corresponding Real World Asset in accordance with the procedures, timeframes, eligibility criteria, and fees established by the applicable Pack Provider. Requesting Redemption during the Election Window ends the Buyback Offer for that Pack Token.

3.4.2. Redemption is performed solely by or on behalf of the applicable Pack Provider. Tria does not custody, handle, insure, ship, or deliver any Real World Asset, and Tria is not a party to any Redemption.

3.4.3. Shipping, insurance, handling, import duties, customs charges, and taxes arising from a Redemption are your responsibility unless the applicable Pack Provider states otherwise. Redemption may be unavailable in certain jurisdictions, and delivery may be restricted by applicable law, sanctions, or carrier policy.

3.4.4. A Pack Token confers only such rights against the applicable Pack Provider as that Pack Provider's terms provide. It does not confer any right or claim against Tria or, except where NextRare is the Pack Provider, NextRare, in respect of the corresponding Real World Asset, any Buyback Offer, or any Redemption.

3.5. Transfers of Pack Tokens

Any transfer, sale, or other dealing in a Pack Token outside the Platform, including on any third-party marketplace, is at your own risk and is governed by the terms of that marketplace and of the applicable Pack Provider. A Pack Token transferred out of the Digital Asset Wallet connected to your Tria Account can no longer be sold under the Buyback Offer through the Platform. Tria has no role in, and no responsibility or liability for, any such transfer, sale, or dealing.

3.6. Refunds

3.6.1. Pack purchases cannot be cancelled or refunded once made, except that a Pack purchase will be refunded in full where:

(a) your payment was taken but no Pack or Pack Token was delivered to you;

(b) you were charged more than once for the same Pack purchase;

(d) Tria is satisfied, after investigation, that the purchase was not authorized by you, and you reported it to Tria within thirty (30) days of the purchase in accordance with Section 3.6.3; or

(e) a refund is required by applicable law.

3.6.2. Refunds are made by or on behalf of the applicable Pack Provider, through NextRare, and not by Tria. Card payments are refunded to the card used for the purchase. Payments in Digital Assets are refunded to your Digital Asset Wallet in the Digital Asset in which the payment was applied to your purchase, as displayed on the Platform, which may differ from the Digital Asset you originally paid with. Failed blockchain transactions may be retried before any refund is made. Refunds normally take five (5) to ten (10) business days.

3.6.3. To raise a problem with a Pack purchase, contact [email protected] or use the support channel on the Platform, and include your Tria Account identifier and the date and amount of the purchase. Where you report unauthorized use, Tria may suspend your access to Packs or to your Tria Account while the report is investigated, and may ask you to confirm the report in writing.

3.6.4. No refund is available for the result of a Pack, for any change in the value of a Pack Token or Digital Asset, or for any amount sent to a wallet or address outside the Platform.

3.7. Purchase Records

3.7.1. Tria, NextRare, and the applicable Pack Provider each keep records of Pack purchases. The records held by any of them relating to a Pack purchase (together, a "Purchase Record") may include:

(a) your Tria Account identifier, the device and IP address used, and your verified identity details where held;

(b) the date and time you accepted these Packs Terms, and the version accepted;

(d) the amount charged, the payment method, and the transaction reference;

(e) the Pack, and the odds and other Pack information displayed to you;

(f) the Pack Token revealed, the time of delivery, and the record of the randomized assignment; and

(g) any later action in respect of the Pack Token, including acceptance of a Buyback Offer, transfer, or Redemption.

3.7.2. Purchase Records are kept for as long as needed to support your purchases, resolve disputes, and comply with applicable law.

3.7.3. You agree that Tria, NextRare, and the applicable Pack Provider may share Purchase Records, together with your earlier transaction history on the Platform, with your card issuer, the Card Program Provider, payment networks, and payment processors, to respond to a Chargeback, payment dispute, or fraud inquiry.

3.7.4. Purchase Records, and the records of Tria and of the applicable Pack Provider of your purchases, reveals, Buyback Offers, and Redemptions, are conclusive, absent manifest error.

3.8. Chargebacks

3.8.1. If you have a problem with a Pack purchase, you agree to contact Tria support in accordance with Section 3.6.3 before contacting your card issuer or bank, so that it can be resolved under Section 3.6.

3.8.2. You agree not to initiate a Chargeback for a Pack purchase that you authorized and that was delivered to you. Nothing in these Packs Terms limits any right you have under the Cardholder Agreement, card network rules, or applicable law that cannot be excluded by agreement, including in respect of unauthorized transactions.

3.8.3. If a Chargeback is initiated for a Pack purchase that you authorized and that was delivered to you:

(a) Tria, NextRare, and the applicable Pack Provider may contest the Chargeback and submit the Purchase Record and your earlier transaction history on the Platform as evidence;

(b) Tria may immediately suspend your access to Packs while the Chargeback is open;

(c) the applicable Pack Provider may cancel, recover, or refuse to honor the Pack Token and any Buyback Offer or Redemption in respect of it, and may recover any Payout Price paid to you, in accordance with its terms;

(d) Tria may set off the disputed amount, any chargeback fees incurred in connection with it, and Tria's reasonable costs of handling the Chargeback against any Tria Amounts Owed, including cashback and Tria Rewards;

(e) any amount that remains unpaid after set-off is a debt owed by you to Tria, NextRare, or the applicable Pack Provider, as the case may be, and may be recovered by any lawful means; and

(f) Tria may permanently close your access to Packs and, where the Chargeback was initiated in bad faith, your Tria Account.

3.8.4. A Chargeback initiated in bad faith, including a claim that a purchase was unauthorized when it was confirmed from your own Tria Account and device, is a material breach of these Packs Terms and of the Platform TOS, and Tria may report it to the Card Program Provider and to payment networks.

3.8.5. Where a Chargeback is decided in your favor and the purchase falls within Section 3.6.1, the measures in Sections 3.8.3(b) to 3.8.3(f) will not apply to that purchase.

4. Roles of Tria, NextRare, and Pack Providers

4.1. Supply Structure. You acknowledge and agree that Packs, Pack Tokens, and the Real World Assets underlying them are created, supplied, sold, custodied, and fulfilled by the applicable Pack Provider, and not by Tria. All Packs are made available on the Platform through NextRare, which, except in respect of NextRare Packs, acts as the agent of the applicable Pack Provider for that purpose. Tria's role is limited to making available the Platform interface through which Packs are discovered, purchased, and opened, and through which Buyback Offers are accepted. Tria does not sell Packs, act as merchant of record for any Pack purchase, set or verify odds, operate the assignment of Pack contents, value Real World Assets, take custody of any Pack Token or Real World Asset, make or fund any Buyback Offer, or perform any Redemption.

4.2. Disclosed Agency. Except in respect of NextRare Packs, NextRare acts in the name of and on behalf of the applicable Pack Provider as a disclosed agent. Accordingly: (i) each Pack is sold to you by the applicable Pack Provider as principal; (ii) the contract in respect of each Pack, and in respect of any Buyback Offer or Redemption, is formed directly between you and that Pack Provider (or, for a Buyback Offer, the Buyer); (iii) NextRare collects and processes payment, including as merchant of record for card payments, solely as agent of the Pack Provider, does not sell those Packs in its own capacity, does not take title to or custody of any Real World Asset, and is not a principal to your purchase; and (iv) neither NextRare nor Tria assumes the obligations of any Pack Provider or Buyer by reason of the arrangements described in these Packs Terms. In respect of NextRare Packs, NextRare is the Pack Provider and sells those Packs to you as principal, and the contract in respect of them is formed directly between you and NextRare. Tria is not a party to any contract for the sale of a Pack, any Buyback Offer, or any Redemption.

4.3. Authority. NextRare has represented to Tria that it holds the authority, consents, and authorizations necessary to make each Pack Provider's Packs available through the Platform, and Tria relies on that representation. Tria does not independently verify, and gives no representation or warranty regarding, the authority, licences, permits, solvency, custody arrangements, or legal compliance of any Pack Provider, Buyer, or NextRare, including whether any Pack or Buyback Offer may lawfully be offered to you in your jurisdiction.

4.4. Provider Terms Apply. Each Pack Provider has its own terms, conditions, eligibility criteria, custody arrangements, Redemption procedures, dispute resolution provisions, and policies. By purchasing, opening, accepting a Buyback Offer in respect of, or redeeming a Pack Token, you agree to be bound by the terms and conditions of the applicable Pack Provider, as amended from time to time, which are linked on the Platform at or before the point of purchase. Where a Pack is supplied by Collector Crypt, those terms are available at collectorcrypt.com. Where a Pack is a NextRare Pack, those terms are available at nextrare.cards/terms. Where a Pack Provider offers a free, no-purchase method of obtaining Pack Tokens or entries, that method is governed by the Pack Provider's terms or official rules. A Pack Provider's terms may require claims against it to be resolved by arbitration or in courts outside your country; for example, Collector Crypt's terms provide for arbitration in Panama. Information about the Pack Provider as seller that applicable law requires to be shown to you is displayed on the Platform at or before the point of purchase. It is your responsibility to review the applicable Pack Provider's terms before purchasing.

4.5. No Tria or NextRare Responsibility for Packs or Real World Assets. Neither Tria nor, except where NextRare is the Pack Provider, NextRare controls, and neither bears any responsibility or liability for, Packs, Pack Tokens, or Real World Assets, including but not limited to: (i) the existence, authenticity, provenance, grading, valuation, or condition of any Real World Asset; (ii) the custody, storage, insurance, or safekeeping of any Real World Asset, or its loss, theft, damage, or destruction; (iii) the Redemption, fulfillment, delivery, shipping, or import or export of any Real World Asset; (iv) any related taxes, duties, or customs compliance; (v) the accuracy of any description, image, metadata, grading certification, odds, or other disclosure supplied by a Pack Provider; (vi) the odds, operation, or outcome of any Pack; (vii) any Buyback Offer, Payout Price, or the payment of any Payout Price; (viii) the continued availability, solvency, or performance of any Pack Provider or Buyer, including its ability to honor a Buyback Offer or Redemption; (ix) any smart contract deployed or controlled by a Pack Provider; or (x) whether any Pack or Buyback Offer may lawfully be offered to you in your jurisdiction.

4.6. Claims Lie Against the Pack Provider. All matters described in Sections 3.2, 3.3, 3.4, and 4.5 are exclusively between you and the applicable Pack Provider (or Buyer), and any claims or disputes regarding a Pack, a Pack Token, the odds or result of a Pack, a Buyback Offer, a Redemption, or a Real World Asset must be directed to that Pack Provider (or Buyer) and not to Tria or NextRare (except where NextRare is the Pack Provider). To the fullest extent permitted by applicable law, you agree not to bring any such claim against Tria in any capacity, or against NextRare other than in its capacity as a Pack Provider, and you release Tria from all such claims. Where more than one Pack Provider is involved in a given Pack, your claim lies against the provider responsible for the relevant obligation.

4.7. Support Facilitation. We may assist in facilitating communications between you and a Pack Provider, whether directly or through NextRare, using our customer support channels, and may share with them the information needed to do so. On request, Tria will provide you with the contact details of the applicable Pack Provider. Such assistance is provided solely as a convenience and does not create any obligation or liability on the part of Tria or NextRare in respect of any Pack, Pack Token, Buyback Offer, Redemption, or Real World Asset, and does not make Tria or NextRare a party to your agreement with the Pack Provider.

4.8. Relationship of the Parties. Neither NextRare nor any Pack Provider is a partner, employee, or joint venturer of Tria, no Pack Provider is an agent of Tria, and NextRare does not act as Tria's agent in the sale of any Pack or in any contract with you. Tria is not an agent of NextRare or of any Pack Provider. Tria is not a party to your contract with any Pack Provider or Buyer, and is not responsible for the acts or omissions of any Pack Provider, Buyer, or NextRare. Nothing on the Platform constitutes an endorsement, guarantee, or recommendation by Tria of NextRare, of any Pack Provider or Buyer, of any Pack or Pack Token, or of any Real World Asset.

4.9. Third-Party Beneficiaries. NextRare and each Pack Provider are intended third-party beneficiaries of Sections 3.3 to 3.8, 4, 6, and 7 of these Packs Terms and may enforce those provisions directly against you, and Tria's affiliates and its and their officers, directors, employees, and agents are intended third-party beneficiaries of Sections 4 and 7. This Section 4.9 applies notwithstanding Section 25.10 of the Platform TOS. Tria may amend, suspend, or terminate these Packs Terms without the consent of any third-party beneficiary.

4.10. Collector Crypt. Where a Pack is supplied by Collector Crypt, the following applies, and in this Section 4.10 "Gacha Cards" means Pack Tokens supplied by Collector Crypt, "RWAs" means the Real World Assets underlying them, and "we", "us", and "our" mean Tria: You acknowledge and agree that Gacha Cards are provided and fulfilled solely by Collector Crypt Corp. ("Collector Crypt"), and not by us. By purchasing or interacting with a Gacha Card, you agree to be bound by Collector Crypt's terms and conditions, available at collectorcrypt.com, as may be amended from time to time. We do not control and bear no responsibility or liability for the underlying RWAs or Gacha Cards, including but not limited to: (i) the authenticity, grading, or condition of any RWA; (ii) the storage or safekeeping of RWAs or Gacha Cards; (iii) the buyback offers, redemption, delivery, or shipping of RWAs; or (iv) any related taxes, duties, or customs compliance. All such matters are exclusively between you and Collector Crypt. Any claims or disputes regarding Gacha Cards or underlying RWAs must be directed to Collector Crypt. We may facilitate communications between you and Collector Crypt through our customer support channels, but such assistance is provided solely for convenience and does not create any obligation or liability on our part.

4.11. End of Pack Provider Arrangements. If Tria's arrangements with NextRare or with any Pack Provider end or are suspended, or if a Pack Provider or Buyer fails to perform its obligations or becomes insolvent, Tria may immediately suspend or discontinue Packs, in whole or in part, without liability to you. Any Pack Token you hold remains a matter between you and the applicable Pack Provider, and Tria has no obligation to support any Buyback Offer, Redemption, or transfer after that time.

5. Availability, Eligibility, Suspension, and Changes

5.1. Packs are offered subject to availability and may be modified, suspended, delisted, or discontinued at any time, in whole or in part, including where a Pack Provider ceases to supply or support a Pack. Tria may make any feature of Packs, including the Buyback Offer, available or unavailable at any time.

5.2. Where Packs Are Available. Packs are available only in the jurisdictions in which Tria makes them available on the Platform, which Tria may change at any time without notice. Packs are not intended for, and must not be purchased or used by, any person located in a jurisdiction in which the offer, purchase, or use of Packs is unlawful. Tria does not represent that Packs are lawful or available in every jurisdiction, and it is your responsibility to ensure that your purchase and use of Packs is lawful where you are located. Tria may restrict or refuse access to Packs, or to any feature of Packs including the Buyback Offer, in any jurisdiction or for any user, including where required or advisable under applicable law, sanctions, card network rules, or Tria's compliance policies, or where Tria reasonably suspects fraud, manipulation, market abuse, or breach of these Packs Terms. You represent that you are not located in, and will not access Packs from, any jurisdiction in which Packs are not made available or in which your purchase would be unlawful, and you must not use a VPN or any other means to circumvent these restrictions.

5.3. Eligibility. To purchase a Pack, you must be at least 18 years old, or the age of majority in the jurisdiction where you live if that is higher, hold a Tria Account in good standing, and be legally permitted to purchase Packs where you live. Tria may verify your age, identity, and location, and screen you against sanctions lists, and may refuse, suspend, or reverse your access to Packs where it cannot do so to its satisfaction.

5.4. Amendments. We may amend these Packs Terms at any time by posting an updated version, with a new Last Updated date, on the Platform. Subject to Section 1.5, your continued use of Packs after such posting constitutes acceptance of the amended Packs Terms, and we may ask you to accept the amended Packs Terms before your next Pack purchase.

5.5. Suspension. Tria may suspend or terminate your access to Packs at any time, with or without notice, and without liability to you, including where Tria reasonably believes that you have breached Section 3.8 or Section 10, used Packs in connection with fraud or money laundering, or breached the General Terms.

5.6. Disabling Packs. You may ask Tria to disable Packs on your Tria Account by contacting [email protected], and Tria will use reasonable efforts to do so promptly.

6. Risk Acknowledgement

6.1. You acknowledge that Packs involve randomized outcomes and that the value of any revealed Pack Token, and of the Real World Asset to which it corresponds, may be substantially less than the amount you paid for the Pack. You may lose the entire value of your purchase.

6.2. You acknowledge that a Pack Token carries only such rights as the applicable Pack Provider's terms provide in respect of a physical item held in that provider's custody, and that its value depends on that provider's continued solvency, custody arrangements, and willingness and ability to honor Redemption. The condition, grade, and market value of a Real World Asset may change over time. Stated values and Payout Prices are set by the Pack Provider and may not reflect the price you could obtain elsewhere.

6.3. You purchase a Pack to acquire a collectible item. Packs and Pack Tokens are not investments, securities, or financial instruments, and are not offered as such. You should not purchase a Pack with any expectation of profit, and nothing on the Platform or in any marketing is a promise that you will receive any particular item, value, or return. Nothing on the Platform constitutes investment, financial, legal, or tax advice. You should only spend what you can afford to lose.

6.4. You are solely responsible for determining what taxes, if any, apply to your Pack purchases, Buyback Offers, Payout Prices, sales, prizes, and Redemptions, and for reporting and remitting them to the appropriate authority. Where required by applicable law, Tria may report information about your transactions to the relevant authorities.

6.5. Blockchain transactions are irreversible. Tria cannot reverse, cancel, or recover a Pack purchase, opening, acceptance of a Buyback Offer, or transfer once it has been submitted to the relevant network.

6.6. Statements about Packs made by influencers, ambassadors, partners, or other third parties are not made by Tria, and no such statement, and no statement by any Tria employee, varies or adds to these Packs Terms.

7. No Warranty; Limitation of Liability

7.1. Packs, and the Platform interface through which they are made available, are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by applicable law.

7.2. To the fullest extent permitted by applicable law, Tria is not liable for any loss or damage arising out of or relating to Packs, Pack Tokens, Real World Assets, Buyback Offers, Payout Prices, or Redemption, or to the acts or omissions of any Pack Provider, Buyer, or NextRare, including any interruption or unavailability of the Platform during an Election Window.

7.3. To the fullest extent permitted by applicable law, Tria's total aggregate liability to you arising out of or relating to Packs shall not exceed the greater of one hundred United States dollars (USD 100) and the amounts you have paid directly to Tria (and not to a Pack Provider, NextRare, or Buyer) in connection with Packs in the six (6) months preceding the event giving rise to the liability.

7.4. Nothing in these Packs Terms excludes or limits any liability of Tria for its fraud, intentional misconduct, or gross negligence, or any other liability that cannot be excluded or limited under applicable law. Where applicable law does not permit an exclusion or limitation of liability in the form set out in these Packs Terms, that exclusion or limitation applies to the maximum extent that applicable law permits.

7.5. You agree to indemnify Tria in accordance with Section 19 of the Platform TOS, including against any claim arising out of your purchase of Packs in breach of these Packs Terms or applicable law, any Chargeback initiated in breach of Section 3.8, or your dealings with any Pack Provider or Buyer. The disclaimers and indemnification provisions of the Platform TOS apply in full to these Packs Terms and to your use of Packs, and the governing law and dispute resolution provisions of the Platform TOS apply as modified by Section 12.

7.6. The exclusions and limitations of liability in Sections 4 and 7 apply equally to Tria's affiliates and to its and their officers, directors, employees, and agents, each of whom may rely on them.

8. Rewards, Cashback, and Promotions

8.1. Any cashback, reward, prize, promotion, or other incentive that Tria offers in connection with Packs ("Tria Rewards") is offered, operated, and administered solely by Tria under the terms Tria publishes for it. Tria Rewards are independent from, and are not affiliated with, sponsored by, endorsed by, or part of, any rewards or programs offered by any Pack Provider.

8.2. Cashback on Pack purchases, where offered, is provided only under the cashback terms that Tria publishes for Pack purchases on the Platform, as amended from time to time. Except as those terms provide, Pack purchases do not earn cashback or rewards under any other Tria cashback or rewards program.

8.3. Promotions, competitions, and leaderboards that Tria offers in connection with Packs are governed by the rules that Tria publishes for each of them, which prevail over these Packs Terms in respect of that promotion.

8.4. Tria may modify, suspend, or end any Tria Reward at any time in accordance with its terms, and may withhold, cancel, or claw back any Tria Reward obtained through error, abuse, or breach of these Packs Terms.

8.5. Any prize consisting of a Pack or a Pack Token is subject to these Packs Terms.

8.6. Unless their terms state otherwise, Tria Rewards have no cash value and are not transferable, and any Tria Reward not claimed or used within the period stated in its terms is forfeited.

9. Your Information

9.1. To make Packs available to you, Tria shares your information as follows:

(a) with NextRare: your Tria Account identifier, email address, display name, country, membership tier, app language, Digital Asset Wallet address, and order history, to process your purchases, payments, refunds, and Buyback Offers, and for customer support, fraud prevention, and legal compliance. NextRare may provide your name and email address to its payment processor to issue receipts;

(b) with the applicable Pack Provider, including Collector Crypt: your Digital Asset Wallet address, for your purchases and Buyback Offers, and, only if you request Redemption, your full name, delivery address, telephone number, and email address, for shipping; and

(c) with your card issuer, the Card Program Provider, payment networks, and payment processors: Purchase Records, as described in Section 3.7.3.

9.2. Card details that you enter at checkout are collected and held by NextRare's payment processor under its own terms.

9.3. The recipients described in Section 9.1 may be located outside your country, including in the United States (NextRare) and Panama (Collector Crypt), and process your information under their own privacy policies. They keep your information for as long as needed for the purposes described in Section 9.1, or as required by applicable law.

9.4. Where applicable law requires your separate consent to the sharing or transfer of your information described in this Section 9, Tria asks for that consent by a separate tick box before your first Pack purchase. You may refuse or withdraw your consent, but you will not then be able to purchase Packs. Withdrawal does not affect sharing that took place before it.

9.5. Tria's Privacy Policy applies to Tria's handling of your information.

10. Prohibited Conduct and Errors

10.1. In connection with Packs, you must not: (a) use bots, scripts, or other automated means to purchase or open Packs or to accept Buyback Offers; (b) create or use more than one Tria Account, or act on behalf of another person; (c) exploit any error, bug, or pricing mistake; (d) engage in any transaction designed to obtain Tria Rewards or Payout Prices other than through genuine purchases, including repeated purchases and sell-backs made to obtain Tria Rewards, except as the rules of a Tria Reward expressly permit; (e) circumvent any location, eligibility, or purchase restriction; (f) purchase Packs for any commercial purpose or on behalf of any business; (g) initiate a Chargeback in breach of Section 3.8; or (h) engage in any Prohibited Use.

10.2. If Tria reasonably suspects any conduct described in Section 10.1, Tria may, to the extent within its control, void or reverse affected transactions, withhold, cancel, or claw back Tria Rewards, notify the applicable Pack Provider, and suspend or terminate your access to Packs or to your Tria Account.

10.3. If a Pack, its price, its odds, a Payout Price, or any other information is displayed or processed in error, Tria and the applicable Pack Provider may correct the error and, to the extent permitted by applicable law, cancel or reverse any affected transaction.

10.4. Purchasing and opening Packs, accepting Buyback Offers, and taking part in any promotion that Tria offers in connection with Packs under its own terms, in each case in accordance with these Packs Terms, is not a Prohibited Use under Section 2(E) or Section 3 of the Prohibited Use Policy.

11. Third-Party Brands

11.1. Card, game, character, league, team, and brand names and images shown in connection with Packs belong to their respective owners and are used only to identify the physical items concerned. Their use does not imply any affiliation with, sponsorship by, or endorsement of Tria, NextRare, or any Pack Provider by those owners.

11.2. A Pack Token does not grant you any intellectual property right in any Real World Asset, image, or brand, except as expressly provided in the applicable Pack Provider's terms.

12. Disputes

12.1. Disputes with a Pack Provider. Any dispute between you and a Pack Provider or Buyer is governed by that Pack Provider's terms, including its governing law and dispute resolution provisions.

12.2. Disputes with Tria. Any dispute between you and Tria arising out of or relating to Packs (a "Packs Dispute") is governed by Sections 21 and 22 of the Platform TOS, with the following modifications, which apply to Packs Disputes only: (a) where you are an individual acting for personal, family, or household purposes, the arbitration will be administered by JAMS under its Consumer Arbitration Minimum Standards and applicable rules in place of the rules of the International Chamber of Commerce, and Tria will pay any arbitration fees that those standards require the business to pay; (b) either party may instead bring an individual claim in a small claims court of competent jurisdiction; and (c) if twenty-five (25) or more Packs Disputes raising similar claims are submitted by or with the assistance of the same or coordinated counsel, they will be administered in batches of no more than one hundred (100) claims, with one arbitrator appointed for each batch, and any applicable limitation period will be suspended for each claim while it awaits its batch.

12.3. Nothing in these Packs Terms deprives you of the protection of mandatory provisions of the consumer protection laws of your country of residence, where those laws apply to you.

13. General

13.1. Assignment. Tria may assign, novate, or otherwise transfer these Packs Terms, and any of its rights and obligations under them, to any affiliate or successor entity of Threely Dimensions Inc., including any parent or other group entity, upon reasonable notice to you. You may not assign or transfer these Packs Terms without Tria's prior written consent.

13.2. Survival. Sections 3.1.6, 3.3.4, 3.3.5, 3.4.4, 3.5, 3.6, 3.7, 3.8, 4, 6, 7, 8.4, 8.6, 10, 11, 12, and 13 survive any suspension or termination of your access to Packs.

13.3. Severability. If any provision of these Packs Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect.

13.4. Language. These Packs Terms are set out in the English language. Any translation is provided for convenience only, and the English language text prevails in the event of any inconsistency.
